Memorandum of Understanding (MoU) for the SheEarns Affiliate Program

An Initiative by I-Train Africa 

This Memorandum of Understanding (MoU) is made and entered into as of date, by and between I-Train Africa (“the Company”) and you as an affilliate), 

  1. Purpose 

The purpose of this Agreement is to define the terms and conditions under which the Affiliate will participate in the SheEarns Affiliate Program, an initiative of I-Train Africa. 

  1. Duration 

This Agreement will commence on the dste you submit your application for the SheEarns affiliate program and will remain in effect until terminated in accordance with the terms of this Agreement. 

  1. Roles and Responsibilities 

I-Train Africa’s Responsibilities: 

  • Provide the Affiliate with access to the SheEarns Affiliate Program platform and resources. 
  • Offer training and support to the Affiliate on the Company’s products and services. 
  • Create a unique affiliate marketing link for the Affiliate.

Affiliate Responsibilities: 

  • Actively promote the SheEarns Affiliate Program and our products they are affilliating on within their network. 
  • Adhere to brand guidelines and marketing best practices provided by the Company. 
  • Provide I-Train Africa with feedback and insights on the Affiliate Program to help improve the Affiliate Program. 
  • Open a Selar account and share the associated email address with I-Train Africa. 4. Commission Structure 
  • Affiliates will earn a the percentage of commission linked th the product sold.
  • commission on all successful sales generated through their unique affiliate link. 
  • Commissions will be processed and paid through Selar to the Affiliate’s account. 5. Brand Usage and Expectations 
  • The Affiliate will comply with all applicable laws and regulations while promoting the program. 
  • The Affiliate will not use the I-Train Africa or SheEarns logos or any other trademark or intellectual property of I-Train Africa or SheEarns to commit fraudulent activities, deceive people, or swindle. 
  • The Affiliate will not use the I-Train Africa logo, the SheEarns logo, or any other trademark or intellectual property of I-Train Africa or SheEarns to create or manage social media pages or use the Company’s name. Additionally, The Affiliate must not use the Company’s name, the SheEarns name, or branding as the name of their social media pages or profiles. 
  • The Affiliate may open their social media pages and promote SheEarns through those channels but must indicate that they are an affiliate and not an official representative of I-Train Africa or SheEarns. 
  1. Listing on the I-Train Africa Website 
  • The Affiliate will be listed as an authorized affiliate on the I-Train Africa website.
  •  
  • ● To facilitate this, the Affiliate must provide I-Train Africa with a picture and a short bio (approximately 100-150 words) for publication on the website. 
  1. Affiliate Eligibility Clause: 
  • To effectively promote any product in I-Train Africa, affiliates are encouraged to have firsthand experience with the product. Note, for the workplace foundational skills (WFS) program, an affiliate is not required to have purchased the product before becoming an affiliate for this program. For all other products and programs, by I-Train Africa, an affiliate must first have purchased the product before they can affiliate for it. If you have not and you purchase for yourself using

your affiliate link, the commission from that sale will be held. In the event that commissions are automatically credited, your enrollment in the program will be paused until the outstanding balance is settled manually. This policy ensures authenticity and integrity in promoting our offerings. 

  1. Confidentiality 
  • The Affiliate agrees to keep all proprietary or sensitive information disclosed during the partnership confidential. This obligation extends beyond the termination of this Agreement. 
  1. Program Payment and Accountability Policy 
  • This policy outlines the rules and procedures for handling payments within the SheEarns affiliate program to ensure secure transactions, protect buyers, and maintain trust among all parties involved. 

Payment Procedures 

For Buyers: 

  • All payments must be made directly to I-Train Africa using the official payment channels provided, which include: 

○ Online via the SheEarns personalized affiliate link provided by the I-Train Africa team to the affiliates. 

○ Bank transfers to designated company accounts: 0094714657, Sterling Bank, I-Train Africa Limited. 

  • Buyers should share proof of payment, such as transaction IDs or receipts with affiliates upon transfer via the provided account details for verification purposes. 

For Affiliates: 

  • Affiliates are prohibited from collecting payments directly from buyers under any circumstances. 
  • Affiliates must guide buyers on how to make payments through the official channels. 
  • Affiliates are required to upload each buyer’s receipt to the designated Google Drive folder for verification purposes and to facilitate easier affiliate payment processing at the end of the month. The folder for uploading bank transfer sales receipts will be created using the email address,

Sheearnsbyitrainafrica@gmail.com, and a personalized folder link will be shared with each affiliate. 

 Affiliate Responsibilities 

  • Provide accurate and transparent information to buyers regarding payment procedures. 
  • Ensure all buyer transactions are reported to the company within 24 hours. ● Maintain professional conduct and uphold the integrity of the affiliate program at all times. 

Accountability and Penalties 

  • Monitoring and Verification: 

○ The company will verify all payments against affiliate reports to ensure compliance. 

  • Penalties for Violations: 

○ Affiliates found handling payments or misappropriating buyer funds will face: 

○ Immediate suspension or termination from the affiliate program. ○ Forfeiture of all pending commissions. 

○ Legal action where necessary. 

  • Dispute Resolution 

○ Any disputes related to payments must be reported to the company within 24 hours via the following channels:

■ Affiliates social media community 

○ The company will investigate and resolve disputes within 48 hours. 

  1. Full Payment policy 

To maintain a seamless transaction process, all purchases made through the SheEarns Affiliate Program must be paid in full at the time of purchase. Installment payments are not available for this program. 

Affiliates are encouraged to clearly communicate this policy to potential buyers to ensure transparency and understanding.

  1. 11. Termination 

This Agreement may be terminated by either party with 14 days written notice. In the event of termination, both parties agree to work together to ensure a smooth transition. 

  1. Governing Law 

This Agreement shall be governed by and construed by the laws of Lagos State, Nigeria. 

  1. 13. Compliance and Acknowledgment 
  • Affiliates agree to adhere to this policy as a condition of their participation in the program. 
  • The company reserves the right to update this policy. Affiliates will be notified of any changes and must reaffirm their compliance. 
  1. Aggrement 
  • By checking the aggrement box in the application form, both parties acknowledge and agree to the terms and conditions outlined in this Agreement.
